01Mainland vs freezone vs offshore
These are the three core structures:
- Mainland โ licensed by the Department of Economic Development (or the emirate's equivalent). You can trade directly anywhere in the UAE, including government contracts. It's generally the most flexible option, and foreign ownership rules have become much easier in recent years.
- Freezone โ there are over 40 freezones across the UAE, often specialized in one industry (media, tech, logistics, finance, etc.). They offer 100% foreign ownership, but usually can't trade directly in the mainland without a distributor.
- Offshore โ used mainly for holding assets, international trade, or tax structuring rather than for operating a UAE-based business with staff and premises.
02Realistic first-year costs
Costs vary enormously by freezone, activity and whether you need a physical office, but a lean freezone freelance or single-activity license can be meaningfully cheaper in year one than a mainland company requiring physical premises. Beyond the license fee itself, budget for: visa costs per partner/employee, mandatory health insurance, an Ejari-registered office or flexi-desk if required by your chosen freezone, and annual renewal fees โ which are sometimes higher than the first-year promotional rate.
03Low-capital ways to start
If capital is the constraint, several freezones offer:
- Freelance permits โ the lowest-cost route for consultants, creators and single-person service businesses.
- E-commerce licenses โ designed for online-only businesses without a need for physical retail space.
- Flexi-desk / virtual office packages โ satisfy the physical address requirement many freezones impose without the cost of a full office lease.
Comparing total first-year cost across a handful of freezones โ not just the headline license price โ usually reveals a meaningfully cheaper path than the first option that comes up in a search.
04License types
Commercial licenses cover trading activities, professional licenses cover services and consultancy-type work, and industrial licenses cover manufacturing. Your activity code matters โ it determines what you're legally allowed to invoice for, so it's worth listing every activity you might realistically do (within reason) at setup rather than needing to amend the license later.
05Corporate tax and compliance
The UAE introduced federal Corporate Tax, applying above a set annual profit threshold, with many free zone entities eligible for a 0% rate on qualifying income if strict conditions are met. Bookkeeping and annual filing obligations apply even to small entities, so budgeting for a basic accounting service from day one โ rather than scrambling at year-end โ is worth building into your cost plan.
